Amy J. McCullough

Amy J. McCullough provides legal counsel to nonprofit hospital and health systems, physician-hospital organizations and physicians.  Her primary areas of practice include contracting, compliance counseling, clinical integration, regulatory matters and mergers and acquisitions.

Amy has considerable experience with drafting contracts, performing all necessary due diligence to protect clients’ interests and carefully guiding them through major transactions, and corporate formation expertise.  Furthermore, she supports senior attorneys with managing large due diligence projects, conducting necessary research to formulate sound opinions and drafting critical documents required for complex transactions.

When a senior lawyer needs to provide a client with an immediate response to a hot topic or specific issue, Amy is the firm’s “go-to” lawyer.  The members of the firm value her ability to analyze facts and formulate a swift   response based on thorough research of case law, statutes and regulatory policy.

  • Researched related issues, drafted briefs and supported senior lawyer in two civil litigation matters.
  • Co-drafted transaction documents and conducted due diligence for two multi-million dollar hospital acquisitions on behalf of a nonprofit health system client.
  • Co-drafted transaction documents and conducted due diligence for multi-million dollar hospital lease acquisition on behalf of a nonprofit health system client.
  • Drafted physician contracts, articles of incorporation, bylaws, and other related corporate documents for newly formed physician hospital organization.
  • Counseled clients using tax-exempt bond issues to finance capital projects.
  • Drafted physician and hospital participation agreements for clinical integration programs.
  • Provided counsel on compliance with Stark, antikickback, and IRS regulations regarding physician compensation.
  • Researched and counseled clients on various Antitrust issues as they relate to the healthcare industry.
  • Drafted various pleading and conducted research in multiple litigation cases.
