Kevin D. Morgan provides legal counsel to nonprofit hospitals and health systems, physician-hospital organizations, cooperative hospital service providers, long-term care facilities and physicians. His areas of practice primarily include obtaining and maintaining tax-exempt status, compliance counseling, regulatory matters, and business transactions, including mergers & acquisitions.
Kevin’s familiarity with IRS regulations pertaining to charitable organizations has resulted in several successful requests for expedited review of applications for tax-exemption and ultimate determinations of tax-exempt status. In addition, he counsels clients on the application of healthcare Fraud and Abuse laws to their operations and transactions, and advises clients on corporate governance issues.
Kevin also has substantial experience with drafting transaction documents and performing all necessary due diligence to protect clients’ interests and meticulously guide them through major transactions.
RECENT REPRESENTATIVE MATTERS
- Drafted transaction documents, including Lease & Transfer Agreement, and handled all IRS and state agencies’ regulatory filings and required notifications for a hospital acquisition by lease on behalf of a nonprofit health system client.
- Counseled a nonprofit hospital client through implementation of a corporate compliance program.
- Formed a 501(e) organization and drafted patron documents for a purchasing group client.
- Drafted transaction documents, including Asset Purchase Agreements, and handled all IRS and state agencies’ regulatory filings and required notifications for two hospital acquisitions on behalf of a nonprofit health system client.
- Counseled client on formation of two nonprofit hospitals and obtained expedited review and approval of application for tax-exempt status.
- Handled acquisitions of four separate physician group practices on behalf of several nonprofit hospital clients.
- Counseled clients using tax-exempt bond issues to finance capital projects.
- Counseled two tax-exempt cooperative hospital service organizations on compliance with IRS regulations and governance issues.
